Background:

Min K. Chai is a corporate/ business transaction attorney representing both domestic companies and foreign-based companies seeking to establish a presence in the U.S.

With approximately 20 years of experience, both abroad and locally, Ms. Chai is experienced in handling a variety of domestic and cross border business transactions. Her work includes entity selection and formation matters, corporate governance, contract negotiations and drafting, mergers and acquisitions, private offerings, strategic alliances, purchase and sale of on-going businesses and commercial properties, establishment of distributing and licensing arrangements, license and lease agreements, employment and consulting agreements, nondisclosure agreements, SEC reporting requirements and compliance, franchise registration and consultations, registration and maintenance of intellectual property rights, and other business transactions.

Ms. Chai practiced in Seoul, Korea as a foreign consultant from 2002 to 2005, representing and serving as corporate counsel to a wide range of U.S.-based companies seeking to establish a presence in Korea. Transactions included cross border transactions in various industries including auto, audio, semiconductor, financial, entertainment, telecommunications, and technology-based sectors, structuring manufacturing and supply agreements, distributorship agreements, and agency representative agreements for the food and beverage/spirit industries, clothing, furniture and shipping industries.

Ms. Chai serves on various boards and committees, including the OC Public Finance Advisory Committee and OC Assessment Appeals Board and previously served on the OC Transport Authority Citizens Advisory Council and Irvine City Public Finance Committee. She also served as the Past President of the OC Korean American Bar Association and Past Chair of the OC Bar Association, Corporate and Business Section. Ms. Chai mentors law students and young lawyers. She is also proficient in Korean.

Ms. Chai earned her B.A. in Economics/ Law & Society from the Univ. of California, Riverside (1998), and J.D. from the University of San Francisco School of Law (2002).
