Background:

David Bronner is a senior lawyer in the Corporate and Transactional Practice Group at K&L Gates LLP, an international law firm with approximately 2,000 lawyers worldwide.  David practices in the areas of mergers and acquisitions, private equity, securities law and general corporate law.  He represents privately-owned companies, including emerging growth companies, family-owned businesses, private equity funds and family offices as well as public companies.  He has been recognized by Super Lawyer- Mergers and Acquisitions and by Leading Lawyer- Corporate Finance Law, Mergers and Acquisitions Law and Securities and Venture Finance Law.

David was the co-chair of the Sub-Committee that drafted the Model Stock Purchase Agreement with Commentary published by American Bar Association Business Section, Committee on Mergers and Acquisitions. This publication has become a primary source for M&A lawyers and is quoted often in judicial opinions.  In addition, he has served as an expert witness both in the United States and abroad in nine high profile litigation matters dealing with contract interpretation of provisions of a purchase agreement and other mergers and acquisitions issues.

Since January 2021, David has been a Lecturer on Mergers and Acquisitions and Securities Regulation at the University of California Irvine Law School.  Previously, for four years, David was a Lecturer on Mergers and Acquisitions.at the University of Chicago Law School.  In addition, in the past, he has lectured frequently on behalf of the American Bar Association on Merger and Acquisitions. He also was an active member of the Task Force for the ABA that published the Model Merger Agreement with Commentary.

David attended New York University, graduating with Honors, Phi Beta Kappa, and received his JD from the University of Chicago Law School.
